These Terms of Service ("Terms") govern your access to and use of our website, Art Collector IQ (www.artcollectoriq.com, the "Website"), our mobile application, Art Collector IQ (the "App"), and all associated content, functionality, and services (collectively, the "Services") offered by CanvasArtTech OÜ ("Company," "We," "Us," "Our"), registered in Tallinn, Estonia.

By accessing or using the Website or downloading and using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. Our Services

Art Collector IQ provides subscription-based services for art collectors, offering proprietary newsletter reports, art market data tools, AI-powered analysis and advisory services, and mobile tools for artwork scanning and collection management. Our Services are designed for informational and educational purposes only and are not, under any circumstances, to be considered financial or investment advice.

1.1 Website Services

Premium Plan (€25/month, 14-day free trial): Provides in-depth auction reports from top auction houses, market insights, analysis of top-performing artists, and guidance on art acquisitions, focusing on provenance and historical significance.

Premium Plus Plan (€90/month, 3-day free trial): Includes all Premium features, plus unlimited access to our artist and auction dashboards, detailed auction data, trend analysis, and access to our specialized AI-powered services: the Artwork Valuation Service and the Auction Advisor Service. This plan offers a comprehensive suite of tools for in-depth market analysis.

1.2 Mobile App Services

The Art Collector IQ mobile application provides the following features:

Free Tier: Includes 3 complimentary artwork scans to experience the AI-powered analysis features.

Monthly Pro Plan ($9.99/month): Provides 100 artwork scans per month, full access to AI-powered artwork analysis and valuation, collection management, album organization, AR room preview, packaging calculator, portfolio analytics, and compliance reporting features.

Annual Pro Plan ($99.99/year): Provides 1,200 artwork scans per year (equivalent to 100/month), with all features of the Monthly Pro Plan at a discounted annual rate.

App features include:

  • AI-Powered Artwork Scanning: Photograph any artwork to receive instant AI-generated analysis including artist identification, style analysis, market context, and estimated valuation
  • Collection Management: Organize and track your art collection with detailed records, notes, and provenance information
  • Album Organization: Create custom albums to categorize your collection
  • AR Room Preview: Visualize artwork in your space using augmented reality
  • Packaging Calculator: Estimate packaging costs using ARTMOR Aircrate recommendations
  • Portfolio Analytics: Track your collection's estimated value and composition
  • Compliance Reporting: Generate reports for insurance, customs, and estate purposes
  • Multi-Currency Support: View valuations in your preferred currency

2. The Role of Artificial Intelligence (AI)

You acknowledge and agree that core features of our Services, including the Website's Artwork Valuation Service and Auction Advisor Service, as well as the App's artwork scanning and analysis features, are powered by artificial intelligence (AI) and machine learning algorithms. The outputs from these services (such as valuations, reports, analysis, and recommendations) are generated automatically based on vast datasets.

Key Characteristics of Our AI-Powered Services:

Data-Driven: The analysis is based on historical auction data, market information, and the images and information you provide. The quality of the output is directly dependent on the quality and completeness of the input.

Probabilistic, Not Definitive: AI-generated results are based on statistical probabilities and pattern recognition, not on human expert opinion or physical inspection. They represent an estimate or a suggestion, not a statement of fact or a guarantee of any outcome.

Potential for Inaccuracies: Like any complex software, the AI may produce unexpected or inaccurate results. You are responsible for independently verifying any information you rely on.

No Physical Inspection: All AI analysis is performed based on images and data provided. No physical inspection of artworks is conducted.

Market Variability: Art market values fluctuate based on numerous factors including economic conditions, collector preferences, artist reputation, and market trends. AI-generated valuations reflect historical data and may not accurately predict future values.

3. Intellectual Property Rights

All content provided through the Services, including all text, graphics, logos, reports, data, software, and AI-generated content, is the exclusive property of CanvasArtTech OÜ or its licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial purposes, subject to these Terms.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from our Services, except for:

  • Temporary copies in RAM incidental to viewing
  • One printed copy for your personal, non-commercial use
  • AI-generated reports for your personal use regarding artworks you own or are considering purchasing

Any other use is a breach of these Terms and may violate copyright and other laws.

4. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable law or regulation
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • Use the Services to infringe upon the intellectual property rights of others
  • Attempt to reverse engineer, decompile, or extract source code from the App
  • Use automated systems or bots to access the Services
  • Share your account credentials or allow others to access your subscription
  • Use the Services to generate fraudulent artwork valuations or documentation
  • Circumvent or attempt to circumvent subscription limitations or scan credits
  • Upload images that contain illegal, harmful, or offensive content

5. No Reliance on Information

The information presented through the Services, whether via the Website or the App, is made available solely for general informational and educational purposes. We do not warrant the accuracy, completeness, or usefulness of this information, especially information generated by our AI models.

Any reliance you place on such information is strictly at your own risk.

We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other user of the Services. AI-generated valuations and analysis should not be used as the sole basis for purchasing decisions, insurance claims, or legal matters.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CANVASARTTECH OÜ, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICES, REGARDLESS OF THE FORM OF ACTION, IS STRICTLY LIMITED TO THE TOTAL AMOUNT OF FEES YOU PAID TO US FOR YOUR SUBSCRIPTION DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation of liability is a fundamental element of the basis of the bargain between you and CanvasArtTech OÜ.

7. Specific Terms for Website AI-Powered Services

Your use of the Website's Artwork Valuation Service and the Auction Advisor Service is subject to the general Terms above and the following specific conditions.

A. Artwork Valuation Service

AI-Generated Estimate: The valuation provided is an AI-generated estimate of an artwork's potential hammer price at auction, based on comparable sales from select auction houses (Phillips, Sotheby's, Christie's) and the images and information you provide. It is an opinion, not an appraisal or a guarantee of value.

Your Responsibility: The accuracy of the valuation depends entirely on the accuracy and completeness of the information you provide (e.g., description, condition, provenance). You are responsible for confirming the values and comparable works presented in the report.

Disclaimer of Warranty: We provide no guarantee or warranty regarding the authenticity, origin, age, or condition of the Artwork. The valuation is provided "as is" without physical inspection.

Limited Use: The Valuation Report is for your personal, informational use only and may not be used for any official purpose (e.g., insurance, legal proceedings, collateral).

B. Auction Advisor Service

AI-Generated Advice: The Auction Advisor service provides AI-generated analysis, insights, and strategic suggestions related to artworks appearing in upcoming auctions. This advice is based on historical data, market trends, and the specific characteristics of the artwork.

Not a Bidding Agent: Art Collector IQ is not your agent and is not a party to any auction transaction. Our advice does not constitute a recommendation to bid, a guarantee of winning a lot, or a promise of future appreciation in value.

YOUR RESPONSIBILITY TO VERIFY AUCTION HOUSE TERMS: It is your sole and absolute responsibility to obtain, read, and understand the terms and conditions, conditions of sale, buyer's premium, taxes, and all other relevant rules and policies of the specific auction house where you intend to bid. Art Collector IQ has no affiliation with these auction houses and bears no responsibility for their terms or your compliance with them.

Assumption of Risk: You assume all risks associated with participating in an auction. Decisions on whether to bid, how much to bid, and on which lots are yours alone. You agree to conduct your own due diligence before making any bidding or purchasing decision.

Disclaimer: The advice is generated without human expert review or physical inspection of the artwork. It is provided for educational purposes to supplement your own research.

8. Specific Terms for Mobile App Services

Your use of the Art Collector IQ mobile application is subject to the general Terms above and the following specific conditions.

A. App Artwork Scanning and Analysis

AI-Generated Analysis: When you photograph an artwork using the App, the image is transmitted to our AI service provider for analysis. The resulting report, including artist identification, style analysis, market context, and valuation estimates, is generated by artificial intelligence without human review.

Image Quality: The accuracy of analysis depends on the quality of the photograph you provide. Blurry, poorly lit, or partial images may result in inaccurate or incomplete analysis.

No Authentication: The App does not authenticate artworks. AI analysis cannot verify the authenticity, origin, or authorship of any artwork. Any identification of artists or works is an AI-generated suggestion, not a definitive attribution.

Valuation Estimates: Valuation estimates provided by the App are based on historical market data and comparable sales. They are not appraisals and should not be relied upon for insurance, sale, or legal purposes.

B. Scan Credits and Usage

Credit System: App subscriptions include a limited number of scan credits per billing period. Each AI-powered artwork analysis consumes one credit.

Credit Expiration: Unused credits do not roll over to the next billing period. Credits reset at the beginning of each billing cycle.

Free Tier Limitations: Free users receive a one-time allocation of 3 scan credits. Once exhausted, a subscription is required to continue using AI analysis features.

C. Collection Data

Local Storage: Your artwork collection data, including images, notes, and organizational information, is stored locally on your device.

Data Loss: We are not responsible for loss of collection data due to device failure, loss, theft, app deletion, or other causes. We recommend maintaining separate records of important collection information.

No Backup Service: The App does not currently provide cloud backup services. Data exists only on your device.

D. AR Room Preview

Environmental Scanning: The AR feature scans your physical environment to enable artwork visualization. This data is processed locally on your device and is not transmitted to our servers.

Accuracy: AR visualizations are approximations. Actual artwork appearance may vary due to factors including lighting, color calibration, and scale representation.

E. Packaging Calculator

Estimates Only: Packaging recommendations and cost estimates are provided for informational purposes based on ARTMOR Aircrate products. Actual costs may vary. We are not affiliated with ARTMOR and do not guarantee product availability or pricing.

Shipping Recommendations: Recommendations regarding single or double packaging for shipping are suggestions only. You are responsible for ensuring adequate protection for your artworks during transport.

F. Device Permissions

The App requires certain device permissions to function:

  • Camera: Required to photograph artworks for scanning and analysis
  • Photo Library: Required to access and save artwork images
  • ARKit/Camera (for AR): Required for the room preview feature

You may deny these permissions, but certain features will not function without them.

9. App Store Terms

A. Apple App Store

The App is made available through the Apple App Store. Your use of the App is also subject to Apple's App Store Terms of Service. In the event of any conflict between these Terms and Apple's terms regarding the use of the App, Apple's terms shall prevail with respect to your use of the App.

You acknowledge that:

  • These Terms are between you and CanvasArtTech OÜ only, not with Apple
  • Apple has no obligation to furnish any maintenance or support services with respect to the App
  • Apple is not responsible for addressing any claims relating to the App
  • Apple is a third-party beneficiary of these Terms and may enforce them against you

B. In-App Purchases

All in-app purchases and subscriptions are processed through the Apple App Store. By making a purchase:

  • You agree to Apple's payment terms
  • Billing occurs through your Apple ID account
  • Subscription management and cancellation must be done through your Apple ID settings
  • We do not have access to your payment information

10. Subscription Terms and Cancellation

10.1 Website Subscriptions

Premium Plan: You may request a full refund within 14 days of the initial purchase date, provided you have not downloaded or extensively accessed paid content.

Premium Plus Plan: Due to the high-value data and immediate access to AI services, you may request a full refund within 24 hours of the initial purchase, provided the AI services have not been used.

To request a cancellation or refund for website subscriptions, contact our customer service team at info@artcollectoriq.com.

10.2 App Subscriptions

App subscriptions are managed through Apple's App Store. To cancel your App subscription:

  1. Open the Settings app on your iOS device
  2. Tap your name, then tap Subscriptions
  3. Tap Art Collector IQ
  4. Tap Cancel Subscription

Refunds: Refund requests for App subscriptions must be made through Apple. Visit reportaproblem.apple.com to request a refund from Apple.

Subscription Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

11. Indemnification

You agree to defend, indemnify, and hold harmless CanvasArtTech OÜ, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your use of any AI-generated content
  • Any artwork images you upload to the Services
  • Your violation of any third-party rights

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. All disputes arising from or relating to these Terms or the Services shall be resolved exclusively by the Harju County Court in Tallinn, Estonia.

For users accessing the App through the Apple App Store, you may also have rights under the consumer protection laws of your country of residence.

13. Amendments

We reserve the right to amend these Terms at any time by posting the revised version on the Website and/or through the App. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

For material changes, we will provide notice through the App or via the email address associated with your website account.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CanvasArtTech OÜ regarding your use of the Services and supersede all prior agreements and understandings.
